Special resolution to become a company

The special general meeting was convened to consider the following special resolution:

The members resolve that:

1. Organic Industries of Australia, an association incorporated in NSW, transfer its registration to be a company limited by guarantee (Corporations Act 2001);

2. the new name for registration will be Organic Industries of Australia Ltd; and

3. the attached draft constitution shall be adopted as the constitution for Organic Industries of Australia Ltd.

Discussion

Members discussed the membership fee structure and resolved to amend the draft constitution Schedule 1 - Membership By-laws prior to the draft constitution being adopted.
